These terms govern the supply of all Nebula products in the UAE. They are supplemented by the product manual for the model supplied and the Warranty & Returns Policy at nebula.ae/pages/warranty-returns, both of which form part of the contract.

1. Definitions

Nebula — Nebula Cool Refrigerators, Freezers & Water Coolers Manufacturing LLC, trade licence no. 1258424. Buyer — the person or entity named on the quotation. Goods — the products listed on the quotation. Bespoke Goods — Goods made or modified to the Buyer's specification, to which Schedule A applies.

2. Formation of Contract

A quotation is an invitation to order and is not an offer. Quotations are valid for 30 days and are subject to stock and price confirmation. A contract is formed only when Nebula issues a written order confirmation, or takes payment of the deposit, whichever is earlier. Any terms proposed by the Buyer, including purchase order conditions, do not apply unless accepted by Nebula in writing.

3. Price and Payment

Prices are in AED and exclude VAT unless stated. A deposit is payable on order as per written confirmation, subject to a minimum deposit of 50%. Where the order confirmation does not state a deposit figure, 50% applies. The balance is due before dispatch. Nebula may withhold delivery or installation until cleared payment is received. Title to the Goods passes to the Buyer on payment in full; risk passes on delivery. Late payment may attract interest at 1% per month.

4. Delivery, Lead Times and Site Access

Lead times are estimates given in good faith and are not of the essence. For Bespoke Goods, the lead time runs from the date of drawing approval under Schedule A, not the order date. The Buyer is responsible for confirming that access routes, floor loading, drainage and electrical supply are adequate before delivery. Failed or aborted deliveries due to site unreadiness may be re-charged. Where the Buyer is unable to accept delivery, or does not collect Goods held for collection, on the agreed date, Nebula will store the Goods free of charge for 14 days, after which storage charges of AED 250 per week (or part week) apply and are payable before release. Risk in the Goods passes to the Buyer from the agreed delivery or collection date, whether or not the Goods have been taken.

5. Specification, Variation and Product Images

Nebula continually develops its products. Nebula reserves the right to alter the specification, materials, components or finish of any product without prior notice where required by legislation or regulatory requirement, for reasons of safety, or as part of design improvement — provided the change does not materially reduce the performance or value of the Goods supplied.Images, dimensions, colours, finishes and technical data shown on nebula.ae, in brochures or on social media are illustrative and are not contractual. Timber, stone and other natural materials vary in grain, tone and figure, and colours reproduce differently on screen. The written specification on the signed quotation or approved drawing prevails over any other description.

6. Installation

Where installation is included, delivery and installation are quoted as a single attendance and are carried out on the same visit. Installation covers positioning, connection to services already brought to the agreed point, commissioning and handover. It does not include electrical works to the supply, civil works, drainage installation, craneage, or making good. Any such works are the Buyer's responsibility and must be completed by licensed contractors before the delivery date.Where the site is not ready on arrival and installation cannot be completed on the same visit, a re-attendance fee of AED 500 applies to each further visit. Installation booked separately from delivery, or requested after delivery has taken place, is charged as a separate attendance at the prevailing rate.

7. Product Manual, Safe Use and Suitability

Each model is supplied with a product manual containing the safety warnings, contraindications, operating limits, water quality requirements and maintenance schedule specific to that model. The manual is available on the product page for that model at nebula.ae and is provided with the Goods on delivery. The Buyer must read the manual for the model supplied before use, and must ensure that every person operating or using the Unit is made aware of its safety warnings. If the manual cannot be located, or for any question on safe use, suitability or maintenance, contact Nebula at info@nebula-me.ae or +971 58 588 0928 before use.The manual also sets out the intended use of the model, including its suitability for residential and commercial settings, its design bather load and duty cycle. The Buyer is responsible for confirming that the model ordered is appropriate for the intended site, and for compliance with all municipality, civil defence and health authority requirements applying to that site. Nebula will advise on model selection where the intended site type is disclosed at the point of enquiry.

*In summary, and without limiting the manual: never use the Unit alone or under the influence of alcohol, drugs or sedating medication; supervise children at all times and restrict access when the Unit is not in use; do not operate the Unit with any fitting missing, loose or damaged; do not breath-hold or submerge the head in cold water; do not exceed 40 °C or prolonged sessions in heated water; and seek medical advice before use in case of any relevant medical condition or pregnancy.

8. Safety Devices and Resets

Units are fitted with safety devices which may include electrical protection (RCD/ELCB), pressure, flow, water level and temperature cut-outs. These devices are designed to trip in response to normal events such as power interruption, filter blockage, low water level or high ambient temperature. A trip is not a defect and is not a warranty claim. Resetting a tripped device in accordance with the manual is the Buyer's responsibility, and a service visit to perform a reset covered by the manual may be chargeable. Where a device trips repeatedly after resetting, the Buyer must stop using the Unit and contact Nebula.

9. Cancellation and Returns

Standard-specification Goods may be cancelled before dispatch. On cancellation, 25% of the deposit paid is refundable and the balance of the deposit is retained to cover order processing, allocation and restocking. Bespoke Goods are non-cancellable and non-refundable after drawing approval — see Schedule A. Returns of delivered Goods are governed by the Warranty & Returns Policy at nebula.ae/pages/warranty-returns.

10. Warranty

The Nebula standard warranty is 2 years from the date of delivery or customer collection, or from the agreed collection date where the Goods are not collected, whichever is earliest. Warranty coverage, model-specific terms, exclusions and the claims process are set out at nebula.ae/pages/warranty-returns.

11. Liability

To the fullest extent permitted by law, Nebula's total liability is limited to the price paid for the Goods. Nebula is not liable for indirect or consequential loss, loss of profit, loss of business or loss of revenue. Nebula is not liable for injury, illness or loss arising from misuse, failure to follow the product manual, unsupervised use, or operation outside the specification of the model supplied. Nothing in these terms excludes liability that cannot lawfully be excluded.

12. Force Majeure

Nebula is not liable for delay or failure to perform caused by events beyond its reasonable control, including shipping and customs delays, supplier failure, extreme weather, and government action.

13. Governing Law

These terms are governed by the laws of the United Arab Emirates, with disputes subject to the exclusive jurisdiction of the courts of Dubai.

Schedule A — Bespoke and Custom Orders

This Schedule applies in addition to the Terms of Sale where Goods are made or modified to the Buyer's specification. Where it conflicts with the Terms of Sale, this Schedule prevails.

A1. Drawing approval. Nebula will issue production drawings for the Buyer's written approval. The Buyer is responsible for checking all dimensions, materials, finishes, service positions and orientations before approving. Approval is confirmation that the drawing is correct and complete.

A2. Lead time. The quoted lead time commences on the date of written drawing approval. Delay in approval extends the delivery date accordingly. Nebula may re-quote where approval is delayed beyond 30 days.

A3. Revisions. Two rounds of drawing revision are included. Further revisions, and any change requested after approval, may incur additional cost and will reset the lead time.

A4. Non-cancellable. Bespoke Goods are non-cancellable, non-refundable and non-returnable from the date of drawing approval. The deposit is non-refundable from that date. Cancellation after approval remains payable in full where materials have been committed or production has commenced.

A5. Tolerances and variation. Manufacturing tolerances of +/- 5 mm apply to all bespoke dimensions. Colour, finish and grain will vary from samples and from any previously supplied unit. These variations are not defects.

A6. Payment. A deposit is payable on drawing approval as per written confirmation, subject to a minimum deposit of 50%. Where the order confirmation does not state a deposit figure, 50% applies. The balance is due before dispatch.

A7. Site responsibility. Bespoke Goods are made to the dimensions on the approved drawing. Nebula is not responsible for goods that do not fit as a result of site measurements supplied by the Buyer or the Buyer's representatives.
